Terms and Conditions

We reserve the right, in our sole discretion, to modify, alter or otherwise update these Website Terms and Conditions at any time and you agree to be bound by such modifications, alterations or updates.

1) INTENDED AUDIENCE:
Unless otherwise specified, this site is intended for two categories of people i.e:
    • Moira Life Partners (Direct Sellers)
    • Customers

1. Moira Life” Direct Sellers” will be addressed as “Moira Life Partners”.
2. All Partners will have Unique Identification Number (UIN) that has to be quoted by the Partner in all his/her transactions and correspondence with the Company. The Unique Identification Number cannot be altered at any point of time.
3. No communication will be entertained without Unique Identification Number and password. Partner shall preserve the Unique Identification Number and Password properly as it is must for logging on to website.
4. The Company reserves its right to withheld/block/suspend the Partner in the event if Partner fails to provide any details as desired by the Company from time to time like Pan Card details, KYC etc.                                    
5. The Partner shall be faithful to the Company and shall uphold the integrity and decorum to the Company and shall maintain good relations with other Partner and other clients also.
6. That the Partner shall be abide with policies, procedures, rules and regulations of the company and All privileges laws, rules and regulation and Direction and Guideline issued by the state and central Government of India from time to time.
7. The Company reserves the rights to modify the terms and conditions, products, plan, business and policies with/without giving prior notice. Such notice may be published through the official website of the Company, and any such modification/amendment shall be applicable and binding unto the Partner from the date of such notice.
8. The Partner must not engage in any deceptive of unlawful trade practice as defined by any central, state or local law or regulation.
9. The Partner shall not manipulate the Moira Life Business plan, MRP, Distributor Price, Business volume etc., in any way and Partner shall not send, transmit or otherwise communicate any messages to anybody on behalf of the Company otherwise than for authorization for the same.
10. Relation between the Company and the Partner shall be governed, in addition to this agreement, by the rules and procedure mentioned in the Business plan, available on website. The Partner further confirms that he has read and understood the terms & conditions carefully and agrees to be bound by them.
11. It is made and understood in very clear terms that Partner is not an Investor, Shareholder, Agent, Employee nor an authorized representative of Moira Life Pvt Ltd or its service providers. He is not authorized to receive/accept any amount/payment for and behalf of Moira Life Pvt Ltd and any payment received by him will not be deemed to be received by Moira Life Pvt Ltd.
12. Partner, hereby declare that all the information furnished by him are true and correct. Company shall be at liberty to take any action against the Partner in the event, it is discovered that the Partner furnished any wrong/false information to the Company.
13. Partner is required to visit the Company’s official website i.e. www.moiralife.in,  from time to time to get regular updated done by company if any.
14. The Partner will be eligible for facilitation fees or income, as per the volume of sale of Products/Business done by him, subject to the eligibility norms formulated by the Company from time to time. The Company does not guarantee/assure any particular or fixed facilitation fees or income to the Partner.
15. Commission/income to the Partner shall be subjected to statutory deductions as applicable.
16. Processing charges and any other applicable charges will be deducted as per the Company's norms.
17. Partner undertakes to adhere for policies, procedures, rules and regulations formed by the Company.
18. In case of death of Partner either his nominee or one of the legal heirs with consent of all the legal heirs may join the Company as Partner in place of the deceased provided, he applies in prescribed form and undertakes to abide all rules and regulations, terms and conditions etc. in the same manner as that of original Partner. In case of failure to arrival at such consent within six months from the date of death of the Seller, the Company shall be at liberty to terminate the ID. For this period the Company will keep his ID in abeyance.
19. If any Partner loses his contractual capacity due to any reason such as lunacy, bankruptcy or sentenced to imprisonment or any other legal embargo is created, his Membership shall be continued through the person duly appointed by the competent Court.
20. All the arrangements, expenses, permission from local authorities, complying with rules of central and state government and local body is whole responsibility of Partner for meetings and seminars conducted by Partner.
21. SMS ALERTS- The Partner agrees to receive the SMS Alerts from the Company on Mobile Number Mentioned/ quoted above and will not object even if they are received despite of DND activated. Partner Shall Intimate the Change in mobile no. (If Any) 
22. If any Partner registers himself/herself with Moira life and his/her ID remains Red (zero order placed from DOJ) for 3 months, in such situation that respective ID will be terminated. Same can be re-registered in the system after 6 months of the termination.
23. Moira Life Pvt. Ltd. holds the right to terminate and shift his/her her downline under the company if any independent Partner is working as Director on board with any direct selling company.

Each category in turn is bound by an additional agreement i.e., a Partner is bound by the “Partner agreement"; and a Customer is bound by the "Customer agreement". These agreements find mention on the relevant portions of the website that relate to each of these categories. If you fall within any of these categories, it is your responsibility to familiarise yourself with the appropriate agreement and to comply with its terms.

2) CANCELLATION/REFUND POLICY:
Product Return Policy:
In case of any dissatisfaction, manufacturing or packaging defect, customers/Partners can return/exchange the product. The customers/Partners must contact the Partner/Company from whom they had purchased the same, within 30 days from the date of purchase/invoice. They have to provide a reason and return the said products. In case the customer returns the product, it is the Partner's obligation to satisfy the customer’s need for money refund or replacements of products.

The Partner can then return these products within 30 days (from the date of invoice), with original Invoice to the Company. The Company will replace these products free of cost or if the Partner does not want the same products, the Company will give a cash voucher of the same amount, which can be used by the Partner for purchasing products of their choice.

The condition of purchased goods must be saleable i.e., any seal/protection on the goods is kept unbroken.

3) INTELLECTUAL PROPERTY RIGHTS:

All material on this Site ("Material"), including text, images, illustrations, etc are protected by copyrights which are owned and controlled by us or by other parties that have licensed their material to us. Material from the site may not be copied, reproduced, republished, uploaded, posted, transmitted, or distributed in any way.

We grant you a limited license to access and make personal use of this site and not to download (other than page caching) or modify it, or any portion of it, except with the written consent of Moira Life. This license does not include any resale or commercial use of this site or its contents; any collection and use of any product listings, descriptions, or prices; any derivative use of this site or its contents; any downloading or copying of account information for the benefit of another merchant; or any use of data mining, robots, or similar data gathering and extraction tools.

You are granted a limited, revocable and nonexclusive right to create a hyperlink to the home page of Moira Life so long as the link does not portray Moira Life, its affiliates, or their products or services in a false, misleading, derogatory, or otherwise offensive matter. You may not use any Moira Life logo or other proprietary graphic or trademark as part of the link without express written permission.

4) Trademarks:
The trademarks, logos and service marks displayed on the Site are our property and the property of other parties. Users are prohibited from using any Marks without our written permission or third parties, which may own the Marks.

5) SUBMISSIONS OF INFORMATION/IDEAS:
Any information or material submitted by you to the Moira Life website (whether through e-mail or otherwise) will be deemed non-proprietary and non-confidential, and may be used by Moira Life without restriction. Notwithstanding the foregoing, all personal data (e.g., name, address and telephone number) provided to Moira Life will be handled in accordance with Moira Life Privacy Policy.

Moira Life is always improving its products and services and developing new features. If you have ideas regarding improvements or additions to the Moira Life, we would like to hear them. However, please note that under no circumstances shall any disclosure of any idea, related materials to Moira Life be subject to any obligation of confidentiality or expectation of compensation.

By submitting the idea and/or any related material to Moira Life, you are waiving any/all rights that you may have in the idea or any related materials and are representing and warranting to Moira Life that the idea and/or related materials are wholly original with you and that no one else has any rights in the idea and/or materials and that Moira Life is free to implement that idea and to use the materials if it so desires as provided or as modified by Moira Life, without obtaining permission or license from any third party.

6) LINKED SITES:
We may provide links and pointers to Internet sites maintained by others ("Third Party Sites"). We are not responsible for the contents of or any products or services offered in such Third-Party Sites.

7) TERMINATION:
This agreement will terminate immediately without notice from us if in our sole discretion you fail to comply with any term or provision of this Agreement. Upon termination, you must destroy all materials obtained from this Site and all copies thereof, whether made under the terms of this Agreement or otherwise. In the event of termination, the disclaimers of warranties and limitations of liabilities, damages and remedies set forth in this Agreement shall survive.

8) DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY:
This site is provided by Moira on an "as is and "as available" basis. Moira makes no representations or warranties of any kind, express or implied, as to the operation of this site or the information, content, materials, or products included on this site. You expressly agree that your use of this site is at your sole risk. To the full extent permissible by applicable law, Moira disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose.
Moira does not warrant that this site, its servers, or e-mail sent from Moira are free of viruses or other harmful components. Moira will not be liable for any damages of any kind arising from the use of this site, including, but not limited to direct, indirect, incidental, punitive, and consequential damages.

9) LIMITATION OF REMEDY:
If you are damaged or injured by any of the Material contained in the Site, or you are dissatisfied with the Site or Material for any reason, then your sole and exclusive remedy is to discontinue accessing and using the Site.

10) Miscellaneous:
This Agreement does not, and shall not be construed to, create any partnership, joint venture, employer-employee, agency or franchisor-franchisee relationship between you and MOIRA LIFE. You shall not assign, transfer or sublicense any or all of your rights or obligations under this Agreement without our express prior written consent. Any heading, caption or section title contained herein is inserted only as a matter of convenience, and in no way defines or explains any section or provision hereof. This Agreement, together with all agreements and statements referred to herein and incorporated herein by reference, is the entire agreement between you and MOIRA LIFE relating to the subject matter hereof and, except as otherwise provided herein, supersedes any and all prior or contemporaneous written or oral agreements or understandings between you and MOIRA LIFE relating to such subject matter. Notices to you may be made by posting a notice (or a link to a notice) to any MOIRA LIFE WEBSITE, by email, or by regular mail, at MOIRA LIFE's discretion. Without limitation, you agree that a printed version of this Agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this Agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

11) Limitation of Liability :
In no event shall Moira life, its subsidiaries or affiliates, or any of their respective employees, officers, directors, agents or representatives (the foregoing entities, collectively, the "Moira Life entities") be liable for any indirect, incidental, special or consequential damages arising out of (a) this agreement, (b) the Moira Life websites, (c) your use of or inability to use the Moira Life websites, or (d) the acts or omissions of Moira Life independent parties, in each event, even if Moira Life or such party has been advised of the possibility of such damages. Moira Life is not responsible for any unauthorized access to or alteration of your submissions, transmissions or data or for any material or data sent or received or not sent or received. Moira life is not responsible or liable for any threatening, defamatory, obscene, offensive or illegal content or conduct of any other party (including without limitation any Moira Life independent party), or any infringement by a third party of another's intellectual property, privacy or other rights. You agree that any content downloaded or otherwise obtained by you through the use of Moira Life websites is done at your own risk and that you will be solely responsible for any damage done to your computer system or loss of data that results from the download of such content. Without prejudice to what is stated hereinabove in this clause, in no event shall Moira Life's total liability to you for all damages, losses and causes of action (whether in contract, tort or otherwise) arising from or related to this agreement, the Moira Life websites, or your use of or inability to use the Moira Life websites exceed the amount paid by you, if any, for using or accessing the moira life websites.

OTHER:
If any provision of this agreement shall be unlawful, void, or for any reason unenforceable then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions. We may at any time revise these Terms and Conditions by updating this posting. You are bound by any such revisions and should therefore periodically visit this page to review the then current Terms and Conditions to which you are bound.
